Boilerplate License

This license ("License") is an agreement between you ("you", "Licensee") and Waitloop.io ("we", "us") governing your use of the SaaS Boilerplate Starter Kit: the source code, documentation, and related materials we deliver to you after purchase (together, the "Kit"). It applies whether you bought the Kit on its own or received it as part of the SaaS Launchpad package.

The short version: one purchase lets you build and sell one commercial product on the Kit. Everything you build on top is yours. The Kit itself stays ours: you can't resell it, redistribute it, or pass it along as a starter kit, template, or boilerplate. By purchasing or using the Kit you agree to this License and to our Terms of Service.

1. The License Grant

On payment, we grant you a non-exclusive, non-transferable, perpetual license to use, modify, and build upon the Kit to create and operate one (1) commercial end product (your "Product"): for example, a SaaS application, the backend of a mobile app, or an API service.

  • One license, one Product. Each additional commercial Product requires its own license (its own purchase).
  • Versions don't count as new Products. Releases, updates, rebrands, and iterations of the same Product are all covered by the one license.
  • Unlimited non-production use. Development, testing, staging, and personal non-commercial experiments are not limited.
  • Included with the Launchpad. A SaaS Launchpad purchase includes one license under these same terms.

2. What You Own, What We Own

  • Yours. Everything you create on top of the Kit: your features, your modules, your designs, your data, your brand, and your Product as a whole. You may sell your Product, and you may sell your Product's business, including its codebase, to an acquirer; the Kit portions within it carry this License to the acquirer for that Product only.
  • Ours. The Kit itself: its source code, structure, and documentation. The Kit is licensed, not sold. Buying the Kit does not transfer its copyright or make it your intellectual property.

3. Restrictions

You may not, and may not permit anyone else to:

  • resell, redistribute, sublicense, lease, or give away the Kit or any substantial portion of it, on its own or as part of a starter kit, boilerplate, template, framework, or similar developer offering;
  • publish the Kit's source code publicly (for example, in a public repository), except for small excerpts reasonably necessary for support questions or documentation of your Product;
  • use one purchase to build commercial products for multiple separate clients or businesses; each client's product is a separate Product requiring its own license;
  • use the Kit to build a product whose primary purpose is to compete with the Kit itself; or
  • remove or alter copyright notices inside the Kit's source files, except in output your end users see.

4. Your Team & Contractors

Your employees and contractors may access and work on the Kit's source code, but only for your licensed Product. You are responsible for making sure they follow this License, and access should end when their work on your Product ends.

5. Delivery & Updates

  • Delivery. We deliver the Kit to the email address associated with your payment, normally within 24 hours of purchase. Keep your own copy; we are not obligated to re-deliver indefinitely.
  • Updates. Your license covers the version delivered to you. We may, at our discretion, offer updated versions to past purchasers, but updates, new features, and compatibility fixes are not promised as part of the purchase.
  • Support. The Kit is delivered with its documentation. Ongoing support is not included with a standalone Kit purchase, except where a package you bought (such as the SaaS Launchpad) says otherwise.

6. Refunds

Because the Kit is source code that cannot be returned, all standalone Kit sales are final once the Kit has been delivered, except where a refund is required by law. If you bought the Kit as part of the SaaS Launchpad, the Launchpad's session guarantee and refund policy in Terms, Section 14 governs; a refunded Launchpad purchase ends the Kit license that came with it, and you must delete your copies of the Kit.

7. Disclaimer of Warranties

The Kit is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Kit is error-free, secure, or suitable for your specific product, or that it will meet any regulatory requirement that applies to your business. You are responsible for reviewing, testing, and operating what you build.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Kit or this License will not exceed the amount you paid for the Kit, and we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility.

9. Termination

This License ends automatically if you materially breach it and do not cure the breach within 14 days of our notice. On termination you must stop using the Kit and delete your copies, except that end products you already shipped in compliance with this License may continue to operate. Sections 2, 3, 7, 8, and 10 survive termination.

10. General

This License is governed by the same law, dispute resolution, and general provisions as our Terms of Service, which apply to your purchase alongside this License. If this License and the Terms conflict regarding the Kit, this License controls. We may update this License for future purchases; the version in effect when you bought governs your copy. If any provision is found unenforceable, the rest remains in effect.
